These Terms & Conditions ("Terms") govern your access to and use of the website thinksprout.website and any programs, materials, or services offered by ThinkSprout Institute Ltd ("we", "us"). By accessing or using our services you agree to be bound by these Terms.
1. Services
We provide educational content, workshops, and cohort programs. We may update or discontinue features at any time.
2. Eligibility & accounts
You must be at least 18 years old and have authority to bind your organisation where applicable. You are responsible for your account credentials and for all activity under your account.
3. Payments & refunds
Fees are quoted exclusive of applicable taxes. Unless otherwise stated in an order form, invoices are due within 14 days. For cohort programs, cancellations 7+ days before start date receive a 90% refund; within 7 days, 50%; after the start date, refunds are not available.
4. Intellectual property
All materials (curricula, templates, videos, rubrics) are our intellectual property or our licensors’. We grant you a non‑transferable, non‑exclusive licence for internal use only. You may not resell or publicly distribute materials without written consent.
5. Acceptable use
- No unlawful, infringing, or harmful activity.
- No reverse engineering or circumvention of access controls.
- No uploading of malicious code.
6. Confidentiality
Information designated as confidential and not publicly known must be kept confidential and used solely for the purpose of receiving the services.
7. Privacy
Your use of the services is also governed by our Privacy Policy.
8. Warranties & disclaimers
Services are provided “as is” without warranties of any kind. We do not warrant that outcomes are guaranteed; results vary with implementation and context.
9. Liability
To the maximum extent permitted by law, neither party will be liable for any indirect or consequential loss. Our aggregate liability for claims arising out of these Terms will not exceed the amounts paid by you to us in the 12 months preceding the claim.
10. Termination
Either party may terminate for material breach if not cured within 14 days of notice. Upon termination, licences cease and fees due remain payable.
11. Governing law
These Terms are governed by the laws of England and Wales. Courts of London, UK shall have exclusive jurisdiction.
12. Changes
We may update these Terms from time to time. Material changes will be signposted on this page with a new effective date.
